General Terms and Conditions of Sale


Article 1: Preamble

These general terms and conditions of sale apply exclusively between the company ANGEL WINE, 91 rue Jean Bonal 92250 La Garenne Colombes (France) (hereinafter "We") and any person visiting or making a purchase (hereinafter "You") via the website www.vinsetmillesimes.com (hereinafter the "Site").
Any internet user wishing to make a purchase declares having read these general terms and conditions of sale. As these General Terms and Conditions of Sale may be subject to modifications, the applicable conditions are those in force on the site at the date the order is placed.


Article 2: Contract

2.1 Conditions for placing an order
In accordance with the provisions of Article L. 3342-1 of the French Public Health Code, by placing an order on the Site, you undertake to be eighteen (18) years of age or over at the date of the order.
Furthermore, you declare that you have the legal capacity enabling you to place an order on the Site.
The minimum order amount is €200 incl. VAT (All Taxes Included) or €166 excl. VAT (Excluding Taxes) subject to applicable conditions. However, it is €500 excl. VAT (Excluding Taxes) for any order destined for Macau or Australia.

2.2 Order Confirmation
After you have placed your order, We will send you an email confirming it.



Article 3: Price, Availability and Delivery

3.1 Prices
Prices displayed on the Site are presented in the display currency you have chosen (Euro, Dollar, Pound Sterling or other), excluding contribution to shipping costs, or any other possible charges (transport insurance, customs clearance upon arrival, etc.). Value Added Tax (VAT) at the rate in force on the date of your visit is included in the sale prices displayed with the mention "incl. VAT". If the price display you have chosen includes the mention "excl. VAT", this tax is then not included but must nevertheless be paid (except under exemption conditions such as receipt of the order outside the European Union, for example).

3.1.1. Purchase VAT-Free and in Duty Suspension
This option is available upon request for private buyers, French or foreign, if the shipment is made to a bonded warehouse (e.g. London City Bond, Octavian, Seabrook, Bordeaux City Bond, La Cave Lyon and other bonded warehouses) and subject to provision of the necessary supporting documents.
This option is available for French professional buyers holding a valid VAT exemption certificate and of course for professional buyers registered in the European Union upon presentation of a valid intra-community VAT number.

3.2 Availability

In the event that you choose to pay by bank cheque, your order will be reserved for 7 calendar days. You undertake to send us your payment by post as soon as possible. Your order will be validated by our services upon receipt of your payment, provided it reaches us within 7 calendar days. If this deadline is exceeded, the reservation will be cancelled, but your order remains valid if the chosen products are still available. If not, We will contact You to agree on how you would like to proceed with your order: partial maintenance, modification or cancellation.

We accept all orders subject to available stock. We inform you of the availability of items sold on the Site on the detailed information page of each item.

Despite all our efforts, it is possible that a very small number among the thousands of items listed on Our Site may contain an error in available quantity or price.
If, despite our vigilance, the items you have ordered are unavailable, We will inform you by email as soon as possible to agree on how you would like to proceed with your order: partial maintenance, modification or total cancellation.
If, despite our vigilance, the items you have ordered contain a pricing error, please be assured that we check prices during the process of dispatching your item. If the corrected price is higher than the price displayed on the Site, We will inform you in advance and proceed with the cancellation of your order unless you choose to accept the order at the new price.

We remind you that any payment by credit card is debited at the time your order is validated. Consequently, in the event that an item is no longer available or is cancelled by yourself, and no replacement item can suit you, a credit card refund or a bank transfer reimbursement will be made.

3.3 Delivery
Preparation for dispatch of your order is carried out as soon as your payment is validated.
Delivery of the product(s) takes place in France, to your home address or any address you have chosen at the time of your order, within an approximate timeframe of one (1) calendar week, excluding periods of temporary closure indicated on the Site (annual stocktake or summer break) and any case of force majeure. The approximate timeframe for any order to be delivered within Europe is approximately ten (10) calendar days. The delivery timeframe for other destinations is variable. It can be communicated upon request before or after the order is placed.

IMPORTANT
Upon receipt of the products, you are required without exception to:
- carefully check the contents of the parcel(s) and note any reservations where applicable,
- notify Us within 24 hours using the contact details indicated on the Site in the event of any damage or missing items noted. In the event of damage, a photograph of the parcel(s) must be sent to Us without fail. No claim can be accepted beyond this deadline.

If a major incident (theft, non-delivery or breakage) were to occur during the transport of your order, We will proceed with a new shipment of the product(s) concerned as soon as the investigation conducted by our services and those of the carrier in charge of your delivery has been completed. In certain cases (e.g. fraudulent use of your signature on the proof of delivery and non-delivery), you may be asked to file a complaint with the police or gendarmerie. You undertake to do so within 48 hours of a request from our services.
After the investigation, which takes approximately one (1) month, and upon closure of the enquiry, We will contact You to proceed with a new shipment of the product(s) concerned. If items you have ordered are unavailable, We will contact You to agree on how you would like to proceed: replacement of the missing product(s) or reimbursement of their value.

Deliveries outside French territory are possible. If your destination is not offered by our Site, we invite you to contact us: [email protected]

Any order delivered outside France may be subject to possible taxes and customs duties that are imposed when the parcel reaches its destination. Any such taxes and customs duties related to the delivery of an item are your responsibility. We are not required to verify and inform you of applicable customs duties and taxes. To find out, we recommend that you enquire with the competent authorities in your country.

3.4 Collection
Preparation for collection of your order is carried out as soon as your payment is validated.
The product(s) will be made available at our warehouses in La Garenne Colombes (92), France, within an approximate timeframe of (2) working days, excluding periods of temporary closure indicated on the Site (annual stocktake or summer break) and any case of force majeure.
Orders must be collected within a maximum period of (1) month from the date on which our services send a notice of availability by email.
Beyond this period, orders that have still not been collected:
- will be considered as delivered, and no right of withdrawal may then apply,
- storage fees of €0.50 / bottle / month will be due, and must be paid in full in order to allow the collection of the order(s).


Article 4: Payment

You may pay for your purchase by credit card, cheque or bank transfer.

Cards issued by banks based outside France must be international bank cards. In the event of payment by credit card, the amount of your order is debited at the time it is validated.

Payment by bank cheque is only possible for cheques in euros drawn on a bank based in France or Monaco. In the event of payment by cheque, the cheque will be deposited upon receipt.
The cheque must be made payable to "ANGEL WINE sarl" and sent to the following address:
ANGEL WINE - 91 rue Jean Bonal 92250 La Garenne Colombes, noting the following details on the back of your cheque:

* DATE
* TOTAL AMOUNT
Please affix the correct postage at the current rate.

Payment by bank transfer can be made to our bank account based in France. We will provide you with our bank details upon validation of your order. Any bank charges relating to your transfer must be fully borne by your bank. In the event of an incomplete transfer received, you will be asked to pay the outstanding balance.

Once your payment by credit card, cheque or bank transfer has been validated, your invoice will be available in your customer account, after logging in with the username and password chosen when creating your account.



Article 5: Returns

Pursuant to the provisions of Article L.121-16 of the French Consumer Code, you have the right of withdrawal to return the item(s) to Us without having to provide a reason. However, you must imperatively notify Us of your wish to withdraw by email or letter before any return shipment. You then have a return period of fourteen (14) days following the date on which you received the product concerned, with the carrier's delivery note signature serving as proof. Return and insurance costs (mandatorily covering the full amount of the returned product(s)) are your responsibility.
In the event that the withdrawal period is exceeded, no return will be accepted. Any costs you may have incurred will be forfeited.

IMPORTANT
Even though we take the utmost care in the storage of the wines we offer (temperature, hygrometry, laying and darkness), we cannot accept the replacement of a product for the following reasons:
- Inappropriate taste: we cannot exchange bottles, whether opened or not, that have a taste you consider inappropriate for your tasting (corked, oxidised, declining or otherwise).
- Damaged, nicked, aged label, collar or capsule: bottles, particularly those from old vintages, may sometimes have sustained external deterioration that does not affect the quality of their contents.
A photograph of each product offered in a non-standard condition is available on our Site or upon simple request. It is your responsibility to request it at the following address: [email protected] before purchasing any product.

Product photographs published on the site have no contractual value.


Article 6: Retention of Title

Delivered goods shall remain our property until their shipment (upon handover to the designated carrier), once you have paid the full price (including goods and ancillary costs).


Article 7: Warranties and Liability

We disclaim all liability in the event that the delivered item does not comply with the legislation of any country of delivery other than France.

We undertake to apply all the care customary in the profession in the provision of the service offered to the customer. Nevertheless, our liability cannot be engaged in the event of failure to meet our contractual obligations due to an unforeseeable event or a case of force majeure as defined by case law rendered by French courts.

Our liability shall not be engaged in the event of a delay due to a possible stock shortage.

Furthermore, in the event of differences between the presentation photographs of items on our Site, texts and illustrations, and the items ordered, our liability shall not be engaged.

We implement all the means at our disposal to ensure the services covered by these General Terms and Conditions of Sale. Under no circumstances shall We be liable for loss of profits, commercial losses, loss of data or loss of earnings, or any other indirect damage or damage that was not foreseeable at the time of use of the Site or at the time the sales contract was concluded between Us and You.


Article 8: Site Access Licence

We grant You a limited license to access and use the Site for your personal use. Under no circumstances are You authorized to download or modify all or part of this Site without Our express written permission. This license does not allow You in any way to use, for sale or for any other commercial purpose, this Site or its content (listed products, descriptions, prices, downloading or copying information on behalf of another merchant, use of data, software, audio clips, graphics, images, texts, photographs, tools).

This Site or any part of this Site must not under any circumstances be reproduced, copied, sold or exploited for commercial purposes without our express written authorisation.

You must not use techniques that allow you to copy a trademark, a logo, or any other information (including images, text, layouts) of which We are the owner without our express written consent.
Any unauthorised use will terminate the licence We have granted you.

We grant you, on a non-exclusive and revocable basis, the right to create a hyperlink pointing to our Site, provided that such link cannot create a misleading, false, or pejorative impression of Us or cause Us any harm. Under no circumstances shall the creation of such a hyperlink engage our liability, in any capacity whatsoever, with respect to the content of your site. Any use of our logo, trademark, or graphics in your link requires our express written authorisation.


Article 9: Personal Data Protection and Opposition to Telephone Canvassing

We undertake to protect your personal data. All personal data concerning you that We have collected is processed with the strictest confidentiality, in accordance with the provisions of our personal data protection policy. These have been filed with the CNIL.

Although We strictly prohibit any commercial telephone canvassing of our customers, you may formally object to this by informing us of your wish in writing at the following address: [email protected]

Article 10: Applicable Law and Competent Jurisdiction

These general terms and conditions of sale are governed by French law and the Vienna Convention on Contracts for the International Sale of Goods. All disputes relating to the commercial relationship between You and Us are subject to the non-exclusive jurisdiction of the French courts.
